The Florida Legislature Has Revised Florida's Nonprofit Corporation Act: What Associations Need to Know to Comply

Senate Bill 797 has now unanimously passed both the Florida House of Representatives and the Senate and is headed to Governor DeSantis for signature. Assuming it is signed, as widely expected, the new Florida Nonprofit Corporations Act will take effect on July 1, 2026.
This new law includes several significant changes affecting major organizational transactions, such as mergers and transfers of membership interests. More notably, however, many of the revisions will impact the day-to-day governance and operations of Florida nonprofit corporations. These updates address matters including board vacancies and terms, fiduciary duties of officers, notice requirements, and board rights in memberless organizations, among others.
In light of these changes, now is an ideal time to review your organization’s governing documents, particularly your Bylaws, to ensure:
• Your practices are consistent with your existing governing documents;
• Your documents reflect your organization’s current operational needs; and
• Any necessary updates are made to align with the new statutory requirements.
