Yesterday, the FSAE Boards of Directors installed a new Chair in a special election. We are pleased to announce that the FSAE 2022-23 Chair is Michele White, CAE!
You may have seen that FSAEs 2022-23 Chair Marsha Kiner has taken a new job. While Marsha is looking forward to being closer to family and helping the community she grew up in, her new opportunity is not in an association and changes her eligibility to be an Executive Member and Chair of FSAE.
To complicate matters, our Chair-Elect Keyna Cory has taken on a new project this year and is unable to assume the role of Chair. She does plan to assume the leadership role in July 2023.
FSAE sought counsel with an attorney to review our Bylaws and determine what needed to occur. President & CEO Frank Rudd also consulted with Past Chairs Jim Ayotte, Lonny Powell and Gail Siminovsky along with our Chair-Elect Keyna Cory to determine the best path forward.
The Bylaws appear to dictate two courses of actions for fulfilling the Chair vacancy:
- Current Chair-Elect assumes the role of Chair and a new Chair Elect is elected from among the current Board members, by the Board. Keyna would serve Marsha’s unfulfilled term. The Chair Elect would become Chair during the 2023 Annual Conference.
- Current Chair-Elect does not assume the role of Chair and the Board elects a Chair from among themselves. The newly elected Chair will serve Marsha’s unfulfilled term and the Chair Elect (Keyna) would become Chair at the 2023 Annual Conference.
All consultants and the current FSAE Board have agreed that option two is the best choice for FSAE at this time. A special election was held in September 8 and we are pleased to announce that Michele White, CAE is our newly elected FSAE Chair for 2022-23. Michele is the Executive Director of the FL Association of School Administrators. She joined the FSAE Board in 2018 and has served as Treasurer since July 2021. Congratulations Michele!
BYLAWS: SECTION 5. VACANCIES
A. In the event the Chair is unable to complete his/her term of office, the Chair-Elect shall succeed to the office of Chair for the unexpired term. In the event the Chair-Elect cannot succeed to the office of Chair, the Board of Directors shall elect from among themselves an individual to serve in the office of Chair for the unfulfilled term.
B. If, the Chair-Elect succeeds to the office of Chair, the Board shall elect an individual to serve as Chair-Elect, that individual shall immediately assume the role of Chair-Elect to fulfill the unexpired term. This individual shall be eligible to serve another duly elected term of office.
C. If when the Chair-Elect succeeds to the office of Chair, a regularly scheduled election has not been held, there shall be no individual serving as Chair-Elect until an election can be held. If during this period of time, something shall render the Chair unable to serve, the immediate Past Chair shall serve until an election can be held. D. In the event a Board member is unable to fulfill his/her duly elected/appointed term, the Chair shall appoint a replacement for the remainder of that term, unless otherwise provided in these Bylaws.
